A. Ordering Information
1. A Purchase Order number supplied by the customer is required when placing an order.

2. All orders must be placed for the minimum order quantity
(or multiples of) as specified in the Price List.

B. Pricing, Credit, and Payment Terms
1. Quoted prices are for individual units.

2. All prices are subject to change without notice.

3. Credit approval is required prior to shipment.

4. All prices are F.O.B. Irvine, CA. Freight and handling charge will be "collect" arranged with credit approval

5. Prices do not include sales or excise taxes.

6. All prices are in U.S. Dollars.

8. Terms are net 30 days with established credit.

9. Past due accounts will be charged a service charge equal to 1-1/2% per month.

C. Returned Good Policies
1. Returned goods will be accepted only with prior written authorization (SORMA) from Gish Customer Service.

2. Products being returned must be in original, sealed, undamaged cases and in a saleable condition. Open or broken cases are not returnable.

3. All returns are subject to a restocking charge.

4. Custom made products are not returnable.

5. Products that have exceeded their expiration date are not returnable.

6. Freight charges on all returned products must be prepaid or returns will not be accepted.

D. Damaged or Lost Shipments
1. The customer is required to inspect and count products before carrier departs and reject any obviously damaged cartons.

2. No adjustment or credit will be made unless written documentation is received by Gish Biomedical, Inc. within ten (10) days of receipt of the product. The documentation must include a delivery receipt and inspection report upon which the carrier has noted the damage and loss.

E. Warranty
Gish Biomedical, Inc. ("Gish") warrants that the products shall be free from defects in workmanship or material for a period of twelve months from the date of Gish's shipment thereof to purchaser. If purchaser notifies Gish that any of the products sold hereunder are defective, then Gish shall, at Gish's sole cost and expense, promptly, but in no event later than thirty days after such notification, either repair or replace such products. This Warranty shall not apply to problems or damages resulting from neglect, accident, misuse, abuse or non-Gish modification of the products.

ALL IMPLIED WARRANTIES, INCLUDED BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY EXCLUDED. THE LIABILITY OF GISH, IF ANY, FOR DAMAGES RELATING TO DEFECTIVE PRODUCTS SHALL IN NO EVENT INCLUDE INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES OF ANY KIND.

CAUTION: Federal (USA) law restricts these devices to sale by or on the order of a physician.
